Terms of Service

1. Acceptance of Terms

By accessing or using SalesEntra CRM ("the Service") at salesentra.web.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and MHD Tech ("we", "our", or "us"), the operator of SalesEntra.

2. Description of Service

SalesEntra is a cloud-based customer relationship management (CRM) platform that enables sales teams to manage customers, track deals, log communications, generate contracts, and integrate with third-party services including Gmail, Google Calendar, Microsoft 365, and VoIP telephony.

3. Account Registration & Access

3.1 Account Types

• Admin accounts are created by the platform operator and have full access to organizational data
• Manager accounts are created by admins and have access to their assigned customers only
• Access is granted via email/password, Google sign-in, or Microsoft sign-in

3.2 Your Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized account access
• You are responsible for all activity that occurs under your account
• You must provide accurate information when creating an account

3.3 Account Termination

Admins may deactivate or delete manager accounts at any time. We may suspend or terminate accounts that violate these Terms without prior notice.

4. Acceptable Use

4.1 Permitted Use

You may use SalesEntra for lawful business purposes including managing customer relationships, tracking sales activities, generating contracts, and analyzing sales performance.

4.2 Prohibited Use

You must not:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Attempt to access data belonging to other organizations or users
• Reverse engineer, decompile, or attempt to extract the source code
• Upload malicious code, viruses, or other harmful software
• Use automated scripts, bots, or scrapers against the Service
• Resell, sublicense, or commercially redistribute the Service without written permission
• Store or process sensitive personal data beyond what is necessary for CRM purposes
• Use the platform to send spam or unsolicited communications
• Attempt to circumvent role-based access controls or security measures

5. Data Ownership

5.1 Your Data

All CRM data you create — customer records, deals, contracts, reports — remains your property. We do not claim ownership over your content.

5.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Service to you.

5.3 Data Export

You may export your customer data at any time using the built-in Excel/CSV export features. Upon account termination, you may request a full data export within 30 days.

6. Third-Party Integrations

SalesEntra integrates with third-party services (Google, Microsoft, Zadarma). Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

When you connect Gmail or Outlook, you authorize SalesEntra to access your emails and calendar on your behalf, within the scope of permissions you grant during the OAuth authorization flow.

7. Intellectual Property

The SalesEntra platform, including its design, code, features, and branding, is owned by MHD Tech and protected by intellectual property laws. You may not copy, modify, or distribute the platform without our express written consent.

The SalesEntra name, logo, and visual identity are trademarks of MHD Tech.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages beyond our control. We will endeavor to provide advance notice of planned downtime where possible.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MHD TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability to you for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim (if any).

11. Indemnification

You agree to indemnify and hold harmless MHD Tech and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Changes to Terms

We may modify these Terms at any time. We will notify active users by email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of Ukraine, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Zhytomyr, Ukraine, or by mutual written agreement to alternative dispute resolution.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MHD Tech regarding your use of SalesEntra and supersede all prior agreements.
